NuLife Ventures’ Not-for-Resale / For-Personal-Use-Only Non-US-Resident Terms and conditions

By completing this agreement and enrolling as a Non-US-Resident Independent Brand Partner (NR-IBP), I acknowledge, understand and accept that the following circumstances and additional terms and conditions (in addition to NuLife Venture’s United States policies and procedures) are applicable to all present and future transactions between myself, the NR-IBP and/or Non-Resident-Customer (NRC), a legal resident of Canada, and NuLife Ventures, Inc. (NLV), a US corporation whose principal place of business is located in the United States.

I am enrolling with and/or purchasing from NuLife Ventures, a United States corporation (NLV), as a Non-US-Resident Independent Brand Partner (NR-IBP) whose place of legal residence in Canada; and that in doing so, I may be granted access to websites, tools, software and other information intended only for use in the United States market. In accessing this information, I agree not to use this same collateral for marketing or recruiting purposes in Canada or any other market outside the United States.

I will not make any representation of NuLife Ventures or its products or services for any illegal or unethical purposes. This includes, but is not limited to, making statements regarding, or encouraging, the use of products imported for Personal-Use, and/or services provided by NLV for any purpose known to be illegal, unethical, or that facilitates any practice prohibited by Canadian or US law. I understand and accept, therefore, that I am responsible for my own statements—verbal, written, implied or otherwise expressed—concerning NuLife Ventures’ products and/or services and the NLV Compensation Plan; and agree to indemnify NuLife Ventures, Inc., and its respective directors, officers, employees and agents, and hold them harmless from all liability, including judgments, civil penalties, refunds, attorney fees, court costs or lost business incurred by NuLife Ventures which result, directly or indirectly, from my unauthorized representations or actions.

I understand that products sold by NLV, and the NLV NR-IBP income opportunity, comply with the laws and regulations of the United States; and that no other country government, regulatory body, agency or official has approved or endorsed them. Therefore, I shall not represent or imply that NLV products and/or the NLV compensation plan, marketing materials or other products and/or services have been “approved,” “endorsed,” “licensed” or otherwise sanctioned by any Canadian governmental authority or agency.

As a Personal-Use NRC and/or NR-IBP, I accept that I am prohibited from holding meetings for the purpose of promoting NLV, NLV products and/or services, the NLV compensation plan, and from executing enrollments, demonstrating products, presenting an income opportunity or any other similar activity in any country or jurisdiction where NuLife Ventures has not established a formal, legal presence (including Canada).

I must abide by the US Direct Selling Association’s Ethical Code of Conduct (https://www.dsa.org/docs/default-source/code-of-ethics/dsa-code-of-ethics-december-2018.pdf?sfvrsn=5598cda5_10).

I accept that NuLife Ventures is a global organization, committed to the highest standards of good corporate citizenship word wide; and that as such, the company relies on me to maintain its commitment to ethical business practices in compliance with local laws and regulations. Consequently, I must abide by NuLife Ventures’ Global Code of Ethics regarding the purchase, consumption, use and handling of its products; and by also maintaining the highest ideals of ethical global citizenship through in all my business activities. By enrolling as a NRC or NR-IBP and/or using or consuming NuLife Ventures’ products—regardless of where I reside, travel or otherwise participate—I agree to practice this code of ethical behavior in respect to my consumption, or representation of the Company and/or its products and/or services by:

• Respecting and adhering to the laws, statutes, product restrictions and other requirements of my home country; and of any foreign jurisdiction, I visit and/or otherwise participate.
• Adequately educating myself as to the laws, statutes and other requirements of my country of residence, and of any foreign market which I may visit or otherwise participate.
• Conducting myself in an ethical, moral, legal, and financially sound manner.
• Not infringing upon, applying for, or otherwise impeding the Company’s ability to legally extend and/or obtain its trademarks, domain names, licenses or any other type of intellectual property in my country of residence, or in any other legal jurisdiction.
• Not engaging in any activity that may bring disrepute to the NuLife Ventures or any of its officers, agents or employees.
  • Abiding by all laws and regulations governing the importation, distribution and consumption of NuLife Ventures products in my country of residence, of any foreign jurisdiction I visit and/or otherwise participate.
• Limiting my order quantities of consumable products to no more than an amount sufficient to provide for my own personal consumption within the period allowed for personal use import in my country of residence, or a period of 90 days, whichever is less.
• Restricting my purchase of durable products, such as the AVACEN 100-E or Pro-E, to only those quantities that may be used by myself and/or those with whom I share a residence, or a maximum of 2 units per household, whichever is less.

My relationship with NuLife Ventures is governed by NLV’s policy on Electronic Delivery of Product and Services. That is, as a Personal Use Customer, I agree to English as the language of my relationship with NULIFE VENTURES, and that my purchases from NuLife VENTURES are intended solely for my own personal use. Consequently, I may not advertise, promote, or otherwise encourage the sale of NULIFE VENTURES products to other individuals except as allowed by NULIFE VENTURES within the borders of the United States; therefore, public meetings, solicitations, product demonstrations and other forms of recruitment or product demonstration, as those activities relate to my status as an IBP or customer, outside of the United States is prohibited.

Any purchase of products made by myself as a Customer or NR-IBP is subject to NuLife Ventures’ Anti-Dumping policy. That is, products sold in the United States, or into Canada from the United States, may not be resold to any third party.

Violation of these, or any other NULIFE VENTURES terms, conditions, policies and/or procedures may result in the suspension and/or termination of my account, a loss of commissions, and/or disclosure of personal information to governmental authorities as required by law.

In completing this application, I certify that I qualify to earn an income in the United States as a non-resident US Independent Brand Partner under the rules of the 2018 Canada-United States-Mexico trade agreement, also know as CUSMA (https://www.international.gc.ca/trade-commerce/trade-agreements-accords-commerciaux/agr-acc/cusma-aceum/index.aspx?lang=eng); and therefore must provide to NuLife Ventures a completed US Internal Revenue W-8BEN (https://www.irs.gov/forms-pubs/about-form-w-8-ben) or W-8BENe (https://www.irs.gov/pub/irs-pdf/fw8bene.pdf) form before I may be eligible to earn any commissions, bonuses, or other incentives. In submitting this form, I am agreeing to comply with all laws, statutes, income reporting requirements and other requirements of both Canada and the United States of America. Where a conflict between the laws, regulations and/or statutes of these two countries, I agree that the laws, statutes, and other requirements of the United States shall govern.

I accept the NULIFE VENTURES INTERNATIONAL SHIPPING POLICY, which is: except where a specific license has been granted, in writing, by NuLife Ventures, LLC, no party—including customers, Affiliates, Independent Brand Partners, licensees, etc.—may ship of NuLife Ventures products to destinations outside the U.S. and Canada. Moreover, the use of freight forwarding services to circumvent this policy is expressly prohibited, and may result in suspensions or termination; and orders seized or destroyed by Customs authorities in any country except Canada are not eligible for a refund. NuLife Ventures assumes no responsibility for product shipped by a third party (including the purchaser) to any destination outside of the U.S. and Canada.
